We provide sophisticated, innovative and practical solutions to structuring, negotiating, documenting and implementing Equity Capital Markets (ECM) transactions.
We have extensive experience in ECM transactions, particularly in relation to listings and rights issues and on all aspects of securities regulation, treasury and capital management transactions involving regulatory capital.
We acted on the first wave of listing of special purpose acquisition companies on the Johannesburg Stock Exchange (JSE); on the listing of Ethos Capital on the JSE, which was the first of its kind in this market, where Ethos raised a JSE-listed feeder fund to access capital in the listed space; and the listing of African Rainbow Capital as the first black-controlled, empowered permanent capital vehicle on the JSE.
We have acted for a number of issuers coming to market, those already listed on the exchange operated by the JSE and for most of the financial institutions active in the market within their capacity as sponsors, bookrunners, underwriters or global co-ordinators of equity offerings
We have an established relationship with the JSE through acting on behalf of companies listed on the exchange operated by the JSE and making representations to the JSE. We also work regularly with the Takeover Regulatory Panel, the Financial Surveillance Department of the South African Reserve Bank, and other government agencies which are often involved in ECM matters.
Our ECM expertise is recognised by leading ratings agencies and we have been consistently ranked in Tier 1 by international rating agencies, including Chambers Global.
We offer the full range of ECM related services, including:
- IPOs and listings (primary and secondary);
- delistings;
- foreign exchange listings;
- rights issues;
- unbundlings;
- investment entity and SPAC listings;
- alt exchange listings; and
- accelerated bookbuild offerings (documented and undocumented).
