Webber Wentzel won the African Legal Awards M&A Team of the Year

​​​​​​​​Webber Wentzel won the African Legal Awards M&A Team of the Year for advising on the joint venture between Sanlam Limited, its subsidiaries, and Allianz BV, a subsidiary of Allianz SE.

Webber Wentzel advised Sanlam Limited and its subsidiaries, including Sanlam Emerging Markets Proprietary Limited (Sanlam) on the proposed joint venture with Allianz BV, a subsidiary of Allianz SE (Allianz). Subject to fulfilment of conditions, Sanlam and Allianz will each contribute their current and future shareholding in their respective pan-African operations (excluding South Africa), stretching across 29 African jurisdictions, to the newly incorporated joint venture (JV Co), to form part of a pan-African multi-line insurance company.

Webber Wentzel showcased its core strengths and depth of expertise in all relevant areas, including corporate, commercial, competition, employment, insurance regulatory, tax, innovation, and alternative legal services delivery.

Webber Wentzel also engaged in each jurisdiction where the JV will operate to identify local law requirements from a regulatory and stock exchange perspective (where relevant). This included analysing any stock exchange or other triggers in relevant jurisdictions, and the necessary regulatory filings and approvals. The deal has been signed and Webber Wentzel (together with Allianz's advisors) is making the necessary filings in all jurisdictions as well as engaging all regulators, as required.

The transaction illustrates the firm's ability to deliver a significant Pan-African mandate across English, French, Arabic and Portuguese speaking countries, working with our alliance and key relationship firms, to provide Sanlam with an integrated and one-stop legal solution within an aggressive deal timeline.
